2008-11-06 Considering the shareholder composition of the company (the largest shareholder group, consisting of funds managed by Deccan Value Advisors L.P., holds shares representing almost 78 per cent of the votes in the company) and the fact that the company has been informed that the company's largest shareholder group does not, taking into consideration its large majority, wish to participate in the work of the nomination committee but instead wishes to present its own proposal in connection with the annual general meeting, the establishment of a nomination committee has been deemed unnecessary. Thus, the company deviates from the rules on nomination committee that are contained in the Swedish Code on Corporate Governance.

Johtava venäläinen autoalan maahantuoja ja jälleenmyyjä Rolf Group ottaa käyttöönsä IBS:n autoteollisuustoimialalle kehitetyn IBS Automotive -toiminnanohjausjärjestelmän. Rolf Groupin varaosista ja tarvikkeista vastaavan We Love Parts -yksikön tavoitteena on lisätä tehokkuutta, tuottavuutta ja kannattavuutta. Uuden IBS Automotive -järjestelmän avulla yksikkö hallitsee paremmin ennusteita, vaihto-omaisuutta sekä varaosien jakelua. Uusi järjestelmä tarjoaa myös integraatiorajapinnan jälleenmyyjiin ja ulkoisiin ostajiin Venäjällä. Uudella ohjelmistoratkaisulla tulee olemaan noin 300 käyttäjää. IBS:n ja Rolf Groupin sopimuksen arvo on noin 2,4 M€ euroa.

(”Deccan”) announced on 30 June, 2008 a public bid for all shares in IBS AB (“IBS” or “the Company”). Deccan announced that it had increased its shareholding in IBS to above 30.0 percent of the votes. Thus, in accordance with the provisions governing mandatory bids, Deccan made a public cash offer to the shareholders of IBS.

2008-07-11 The Rolf Group, the leading Russian car distributor/importer and retailer has selected IBS Automotive Software to increase the efficiency, productivity and profitability of the division “We Love Parts”, responsible for distribution of spare parts and accessories. IBS Automotive Software will manage the forecasting, inventory management and handling of spare parts and integrate to dealers and external buyers in Russia. The new software system will have some 300 users. The total order value is approximately SEK 23 m (EUR 2,380 m).

2008-07-10 IBS’ new share issue with preferential rights for the Company’s existing shareholders has been completed. Deccan Value Advisors, having issued a subscription guarantee, subscribed for its pro rata share of the rights issue and an additional 75,000 class A shares and an additional 11,087,943 class B shares. Accordingly, the rights issue was subscribed for in its entirety.
